Important: These Terms and Conditions constitute a legally binding agreement between you and MIU AI SDN. BHD. Please read them carefully before using our Services. By accessing or using our platform, you agree to be bound by these Terms.

1. Agreement to Terms
Welcome to miu.ai. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("Customer," "you," "your") and MIU AI SDN. BHD. (Company Registration No. 1482748-D) ("miu.ai," "Company," "we," "us," "our") governing your access to and use of the miu.ai platform, including our website at miu.ai, web and mobile applications, APIs, widgets, and all related services (collectively, the "Services").
By accessing, registering for, or using our Services, you acknowledge that:
- You have read, understood, and agree to be bound by these Terms in their entirety
- You have read and understood our Privacy Policy, which is incorporated into these Terms by reference
- You have the legal authority to enter into this Agreement on behalf of yourself or the organization you represent
- If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.
2. Definitions
In these Terms, the following words and expressions have the following meanings unless the context requires otherwise:
- "Account" means a unique account created for you to access and use the Services.
- "Authorized Users" means individuals authorized by the Customer to access and use the Services under the Customer's Account, including team members, employees, and agents.
- "Chatbot" means an AI-powered conversational agent created using our platform.
- "Content" means any text, images, data, documents, audio, video, or other materials you upload, submit, store, or transmit through the Services.
- "Credits" means the usage units allocated to your subscription plan that measure AI interactions, token consumption, and other platform features.
- "Customer" means the individual or entity that registers for an Account to use the Services.
- "Customer Data" means all data, including Training Data, Content, configurations, and settings, that Customer uploads, creates, or stores through the Services.
- "Documentation" means user guides, help documentation, API documentation, and other materials we make available describing the Services.
- "End User" means any individual who interacts with a Chatbot created by Customer using the Services.
- "End User Data" means personal data and other information collected from End Users through Chatbots.
- "Feedback" means any comments, suggestions, ideas, or other feedback provided to miu.ai regarding the Services.
- "Flow" means a visual conversation workflow created using the Flow Builder feature.
- "Knowledge Base" means the collection of Training Data used to train and enhance a Chatbot's responses.
- "Platform" means the miu.ai software platform, including all features, tools, and interfaces.
- "Services" means all products, services, features, and functionality provided by miu.ai, including the Platform, APIs, widgets, mobile applications, and Documentation.
- "Subscription" means the Customer's paid access to the Services under a specific plan and billing period.
- "Third-Party Services" means external services, platforms, and applications that integrate with or are accessible through the Services.
- "Training Data" means documents, Q&A pairs, website content, and other materials used to train Chatbots.
- "Widget" means the embeddable chat interface that can be installed on Customer websites.
3. Eligibility & Authority
To use our Services, you must meet the following requirements:
3.1 Age Requirement
You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is greater, to create an Account and use the Services.
3.2 Authority to Bind
If you are using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. The term "Customer" shall refer to such entity.
3.3 Business Use
The Services are intended for business and commercial use. You represent that you are using the Services for business purposes and not for personal, family, or household purposes.
3.4 Compliance with Laws
You must not access or use the Services if doing so would violate any applicable laws or regulations in your jurisdiction, or if you are prohibited from receiving the Services under the laws of your country or any other jurisdiction.
4. Account Registration & Security
4.1 Account Creation
To access most features of the Services, you must create an Account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your Account information to keep it accurate, current, and complete
- Use your real business name and valid contact information
4.2 Account Security
You are responsible for maintaining the security of your Account:
- Keep your password secure, confidential, and not share it with others
- Notify us immediately of any unauthorized access to or use of your Account
- Accept full responsibility for all activities that occur under your Account
- Use strong, unique passwords and enable additional security features when available
4.3 Multi-User Accounts
If you add Authorized Users to your Account:
- You are responsible for their compliance with these Terms
- You are responsible for all activities performed by Authorized Users
- You must ensure Authorized Users maintain appropriate confidentiality
- You may assign different roles and permissions to different Authorized Users
4.4 Account Sharing Prohibited
Account credentials are for your use only. You may not share, transfer, or sell your Account access to any third party without our prior written consent.
4.5 Suspension Rights
We reserve the right to suspend or terminate your Account at any time if we reasonably believe:
- Your Account has been compromised
- You have provided false or misleading information
- You are in violation of these Terms
- Your use poses a security risk to our Services or other users
5. Service Description
miu.ai provides an AI-powered chatbot platform that enables businesses to create, deploy, and manage intelligent conversational agents. Our Services include:
5.1 AI Chatbot Platform
- Visual Flow Builder for creating conversation workflows
- Retrieval-Augmented Generation (RAG) for knowledge-based responses
- Customizable AI personas and behavior settings
- Natural language understanding and processing
5.2 Multi-Channel Messaging
- WhatsApp Business API integration
- Facebook Messenger integration
- Instagram Direct Message integration
- Telegram Bot integration
- LINE Official Account integration
- Embeddable Web Chat Widget
5.3 AI Capabilities
- Integration with OpenAI GPT models and Google Gemini
- Natural language understanding (NLU)
- Multi-language translation
- Speech-to-text and text-to-speech (where available)
- Image and document processing
5.4 Knowledge Base Training
- Q&A pair creation and management
- Website URL crawling and content extraction
- Document upload and processing (PDF, DOCX, TXT with OCR)
- Vector embedding generation and retrieval
5.5 Integrations
- Google Calendar for appointment scheduling
- Monday.com for task management
- Zapier for workflow automation
- Custom webhooks and API access
- MCP (Model Context Protocol) support
5.6 Team Collaboration
- Department and team organization
- Role-based access control (RBAC)
- Conversation queues and assignment
- Internal team chat
- Live chat handoff from bot to human agent
5.7 Analytics & Reporting
- Conversation analytics and metrics
- Usage statistics and reporting
- Performance dashboards

6. Subscription Plans & Fees
6.1 Subscription Plans
We offer various subscription plans with different features, credit allocations, and usage limits:
- Essential Plan: For small businesses and startups
- Growth Plan: For growing businesses with advanced needs
- Enterprise Plan: Custom solutions for large organizations
Current pricing and plan details are available on our Pricing Page. Pricing may vary by geographic region (USD, MYR, TWD, or other currencies).
6.2 Billing Terms
- Subscriptions are billed in advance on a monthly or annual basis
- By subscribing, you authorize us to charge your payment method for all applicable fees
- Subscription fees are non-refundable except as expressly stated herein
- Annual subscriptions may be eligible for discounted pricing
6.3 Price Changes
We may change subscription prices at any time. For existing subscriptions:
- We will provide at least 30 days' notice before price changes take effect
- Price changes will apply at the next billing cycle after the notice period
- Your continued use after a price change constitutes acceptance of the new pricing
6.4 Taxes
All fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes, including VAT, GST, sales tax, or withholding taxes based on your jurisdiction.
6.5 Failed Payments
If payment fails, we may:
- Retry the payment using the payment method on file
- Suspend access to the Services until payment is received
- Downgrade your subscription to a free or limited tier
- Terminate your Account after repeated failed payments
7. Credit System
7.1 Credit Allocation
Each subscription plan includes a monthly allocation of Credits. Credits are consumed when using AI features, including chatbot conversations, training operations, and other AI-powered functions.
7.2 Credit Consumption
Credits are consumed based on:
- AI tokens used in conversations (input and output)
- Knowledge base training and embedding operations
- Document processing and OCR
- Speech-to-text and text-to-speech operations
- Other AI-powered features as specified in the Documentation
7.3 Additional Credits
You may purchase additional Credits at the rates specified on our Pricing Page. Additional Credit purchases are non-refundable.
Important - Credit Expiration: Credits do NOT roll over from one billing period to the next. Unused Credits expire at the end of each billing cycle. There are NO refunds for unused or expired Credits.
8. Free Trial Terms
We may offer free trials of our Services. Free trials are subject to the following:
- Trial periods are limited in duration and features as specified at the time of sign-up
- We reserve the right to limit, suspend, or terminate trials at any time
- Only one free trial per Customer, organization, or billing entity
- Trials may require payment information but will not be charged until the trial ends
- At the end of a trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends
- Trial features and limitations may differ from paid subscriptions
9. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. Permitted uses include:
- Customer service and support automation
- Lead generation and qualification
- Appointment scheduling and booking
- Information provision and FAQ automation
- E-commerce product recommendations and support
- Internal team productivity and communication
- Marketing campaigns (with proper consent)
- Any other lawful business purpose
10. Prohibited Uses
You agree NOT to use the Services for any of the following purposes:
10.1 Illegal Activities
- Fraud, scams, phishing, or financial crimes
- Money laundering or terrorist financing
- Human trafficking or exploitation
- Drug trafficking or promotion of controlled substances
- Weapons sales or promotion of violence
- Any activity that violates applicable laws or regulations
10.2 Harmful Content
- Hate speech, harassment, bullying, or discrimination
- Promotion of violence, self-harm, or dangerous activities
- Sexually explicit or obscene content
- Content exploiting minors in any way
- Misinformation or disinformation campaigns
- Content that promotes eating disorders or dangerous behaviors
10.3 Deceptive Practices
- Impersonation of individuals, organizations, or government entities
- Creating fake endorsements or testimonials
- Deceptive marketing or misleading claims
- Hiding the AI nature of the chatbot when legally required to disclose
10.4 Technical Abuse
- Reverse engineering, decompiling, or disassembling the Services
- Attempting to bypass security measures or access controls
- Introducing malware, viruses, or other harmful code
- DDoS attacks or attempts to disrupt Service availability
- Automated scraping, data mining, or extraction beyond permitted API use
- Circumventing usage limits or rate limiting
10.5 Platform Violations
- Sending unsolicited bulk messages (spam)
- Violating WhatsApp, Facebook, Instagram, Telegram, or LINE platform policies
- Sending messages to recipients who have not consented
- Exceeding message rate limits or platform quotas
10.6 Competitive Misuse
- Using the Services to build a competing product or service
- Benchmarking or competitive analysis for the purpose of developing competing services
- Reselling access to the Services without authorization
11. Customer Responsibilities
As a Customer, you are responsible for:
11.1 Content Responsibility
- All Content you upload, create, or store through the Services
- Ensuring you have the rights to use all Content
- The accuracy and legality of your Content
11.2 Chatbot Response Responsibility
Important: You are solely responsible for all responses generated by your Chatbots, including AI-generated content. miu.ai is not liable for any inaccurate, inappropriate, or harmful responses produced by your Chatbots. You must review, test, and monitor your Chatbot outputs to ensure they are appropriate for your use case.
11.3 Training Data Responsibility
- Accuracy and quality of Training Data you provide
- Ensuring Training Data does not contain infringing, confidential, or harmful content
- Regularly reviewing and updating Training Data
11.4 Output Review
- Testing Chatbots before deployment
- Monitoring Chatbot conversations for quality and appropriateness
- Promptly addressing any issues with AI-generated responses
- Implementing human oversight where appropriate
12. End User Data Obligations
12.1 Customer as Data Controller
When you use the Services to collect and process End User Data through your Chatbots, you act as the Data Controller (as defined under GDPR) or equivalent under applicable privacy laws. As Data Controller, you are responsible for:
- Determining the purposes and means of processing End User Data
- Ensuring a valid legal basis for collecting and processing End User Data
- Providing appropriate privacy notices to End Users
- Obtaining necessary consents where required
- Responding to data subject requests from End Users
- Complying with all applicable data protection laws
12.2 Data Processing Agreement
miu.ai acts as a Data Processor on your behalf when processing End User Data. A Data Processing Agreement (DPA) is available upon request for Customers who require one to meet their compliance obligations.
12.3 Data Subject Requests
You are responsible for handling data subject access requests, deletion requests, and other rights requests from End Users. We will provide reasonable assistance to enable you to respond to such requests.
13. Intellectual Property
13.1 miu.ai Ownership
miu.ai retains all rights, title, and interest in and to:
- The Platform, Services, and all underlying technology
- Our trademarks, logos, and brand elements
- Documentation, user interfaces, and visual designs
- APIs, algorithms, and software code
- Any improvements or modifications to the Services
These Terms do not grant you any ownership rights in the Services or miu.ai intellectual property.
13.2 Customer Ownership
You retain all rights, title, and interest in and to:
- Your Content and Training Data
- Your Chatbot configurations and Flows
- End User Data collected through your Chatbots
- Your trademarks and brand elements used within the Services
13.3 License to miu.ai
You grant miu.ai a worldwide, non-exclusive, royalty-free license to use, process, store, and display your Content solely to provide and improve the Services. This license terminates when you delete your Content or close your Account.
13.4 Feedback License
If you provide Feedback to miu.ai, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Services without any obligation to you.
13.5 Third-Party IP Warranties
You represent and warrant that your Content and Training Data do not infringe upon any third party's intellectual property rights, including copyrights, trademarks, patents, or trade secrets.
14. Third-Party Integrations
14.1 Customer Responsibility
When you connect Third-Party Services to miu.ai, you are responsible for:
- Complying with the terms of service of those Third-Party Services
- Ensuring you have the right to connect and use those services
- Any fees charged by Third-Party Services
- Data shared with Third-Party Services through the integration
14.2 Third-Party Terms
Third-Party Services are governed by their own terms and privacy policies. miu.ai is not responsible for the availability, functionality, or policies of Third-Party Services.
14.3 Integration Disconnection
Third-Party Services may disconnect, modify, or discontinue their integrations at any time. miu.ai is not liable for any disruption caused by Third-Party Service changes, and no refunds will be provided for issues caused by Third-Party Services.
15. AI Disclaimers
CRITICAL NOTICE REGARDING AI-GENERATED CONTENT: The following disclaimers are essential to your use of the Services. By using miu.ai, you acknowledge and accept these limitations.
15.1 No Guarantee of Accuracy
MIU.AI MAKES NO GUARANTEE THAT AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE. AI systems, including those powering miu.ai Chatbots, are probabilistic in nature and may produce outputs that contain errors, omissions, or inaccuracies.
15.2 AI Hallucinations
AI SYSTEMS MAY "HALLUCINATE" AND GENERATE PLAUSIBLE-SOUNDING BUT FACTUALLY INCORRECT INFORMATION. This is a known limitation of large language models. Chatbots may confidently present false information as fact.
15.3 Customer Review Required
CUSTOMERS MUST REVIEW, TEST, AND MONITOR ALL AI OUTPUTS. You are responsible for implementing appropriate quality controls, testing procedures, and human oversight for your Chatbots.
15.4 Not for Life-Critical Decisions
THE SERVICES SHOULD NOT BE USED FOR DECISIONS THAT COULD RESULT IN PHYSICAL HARM, LOSS OF LIFE, OR SIGNIFICANT DAMAGE. Do not rely on Chatbot responses for emergency situations, medical emergencies, or other life-critical decisions.
15.5 Not Professional Advice
AI-GENERATED CONTENT IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. Chatbot responses should not be considered:
- Medical advice (consult a licensed healthcare professional)
- Legal advice (consult a licensed attorney)
- Financial advice (consult a licensed financial advisor)
- Mental health advice (consult a licensed mental health professional)
- Any other regulated professional advice
15.6 Training Data Quality
The quality of Chatbot responses depends significantly on the quality of Training Data provided. miu.ai is not responsible for inaccurate responses resulting from incomplete, outdated, or incorrect Training Data.
15.7 No Liability for AI Content
MIU.AI SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING FROM AI-GENERATED CONTENT, including but not limited to damages resulting from inaccurate information, hallucinations, inappropriate responses, or reliance on Chatbot outputs.
15.8 Model Changes
We may update, modify, or change the underlying AI models without notice. Such changes may affect Chatbot behavior, response quality, or capabilities.
16. Service Availability
16.1 Uptime Target
We strive to maintain high availability of the Services. However:
- WE DO NOT GUARANTEE 100% UPTIME OR AVAILABILITY
- Services may be unavailable due to maintenance, updates, or unforeseen issues
- miu.ai SHALL NOT BE LIABLE FOR ANY DOWNTIME OR SERVICE INTERRUPTIONS
16.2 Scheduled Maintenance
We may perform scheduled maintenance that temporarily affects Service availability. We will attempt to provide advance notice for planned maintenance when possible.
16.3 Third-Party Dependencies
The Services depend on Third-Party Services, including AI providers (OpenAI, Google), messaging platforms (WhatsApp, Facebook, etc.), and infrastructure providers. We are not liable for outages or issues caused by Third-Party Services.
17. Disclaimers of Warranties
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR OBLIGATIONS TO YOU.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIU.AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY: We do not warrant that the Services are fit for commercial sale or will meet your commercial needs
- FITNESS FOR A PARTICULAR PURPOSE: We do not warrant that the Services will be suitable for your specific requirements or intended use
- NON-INFRINGEMENT: We do not warrant that the Services will not infringe any third-party rights
- ACCURACY: We do not warrant that any AI-generated content or information provided through the Services will be accurate, reliable, or error-free
- UNINTERRUPTED SERVICE: We do not warrant that the Services will be available at all times or free from errors, bugs, or security vulnerabilities
- THIRD-PARTY SERVICES: We make no warranties regarding Third-Party Services or integrations
- RESULTS: We do not guarantee any specific results from using the Services
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, our warranties will be limited to the minimum extent permitted by law.
18. Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.
18.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIU.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or data corruption
- Business interruption or downtime costs
- Reputational harm or damage to goodwill
- Cost of substitute services
- Loss of customers or End Users
- Any damages arising from AI-generated content
- Any damages arising from reliance on the Services
This exclusion applies regardless of the legal theory (contract, tort, strict liability, or otherwise), even if miu.ai has been advised of the possibility of such damages.
18.2 Liability Cap
IN NO EVENT SHALL MIU.AI'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF:
- The total fees paid by you to miu.ai during the twelve (12) months immediately preceding the event giving rise to the claim; OR
- One thousand United States Dollars (USD $1,000)
This cap applies to all claims arising out of or related to these Terms or the Services, whether in contract, tort, or otherwise, and regardless of whether miu.ai has been advised of the possibility of such damages.
18.3 Exceptions
The limitations in this section do not apply to:
- Fraud, fraudulent misrepresentation, or willful misconduct by miu.ai
- Gross negligence by miu.ai
- Any liability that cannot be excluded by applicable law
18.4 Basis of the Bargain
You acknowledge that the limitations of liability in this section reflect an informed allocation of risk between the parties. Our pricing reflects this risk allocation. The Services would not be provided without these limitations.
19. Indemnification
19.1 Customer Indemnification
You agree to indemnify, defend, and hold harmless miu.ai and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your Content and Chatbot Responses: Any claims arising from Content you upload or responses generated by your Chatbots
- End User Interactions: Any claims from End Users arising from their interactions with your Chatbots
- Terms Violations: Your breach of any provision of these Terms
- Law Violations: Your violation of any applicable law, regulation, or third-party rights
- Third-Party Rights: Claims that your Content, Training Data, or use of the Services infringes any third party's intellectual property or other rights
- Integration Use: Your use of Third-Party Services through our platform
- Data Collection Practices: Your collection, use, or processing of End User Data
- Marketing Activities: Your broadcast campaigns or marketing messages sent through the Services
19.2 miu.ai Indemnification
miu.ai will indemnify, defend, and hold you harmless from claims that the core miu.ai platform (excluding your Content, Training Data, Third-Party Services, and AI-generated outputs) infringes any third party's intellectual property rights, provided you:
- Promptly notify us of the claim in writing
- Give us sole control of the defense and settlement
- Provide reasonable cooperation and assistance
19.3 Indemnification Procedure
The indemnifying party shall have sole control over the defense and settlement of any claim subject to indemnification. The indemnified party shall provide reasonable cooperation and may participate in the defense at its own expense.
20. Termination
20.1 Termination by Customer
You may cancel your subscription at any time through your Account settings or by contacting us. Upon cancellation:
- Your subscription will remain active until the end of your current billing period
- You will not receive a refund for any unused portion of your subscription
- Unused Credits will expire and are non-refundable
20.2 Termination by miu.ai
We may terminate or suspend your Account immediately, without prior notice, for:
- Breach: Material violation of these Terms
- Non-Payment: Failure to pay fees when due
- Illegal Use: Using the Services for illegal activities
- Harmful Conduct: Conduct that harms other users or miu.ai
- Platform Violations: Severe violations of third-party platform policies
- Security Risks: Actions that pose security risks to our Services
We may also terminate the Services or your Account for any reason with 30 days' written notice.
20.3 Effects of Termination
Upon termination:
- Your right to access and use the Services will cease immediately
- Your Account and associated Chatbots will be deactivated
- We will retain your data for 30 days to allow for data export (see Section 21)
- After 30 days, your data will be permanently deleted
- Provisions that by their nature should survive termination will survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law)
21. Data Export & Deletion
21.1 Data Export
During your active subscription and for 30 days following termination, you may request export of your data. Exported data may include:
- Conversation history
- Contact/customer data
- Training Data and Q&A pairs
- Flow configurations
21.2 Data Deletion
Following termination or upon request:
- Primary data will be deleted within 30 days after the retention period
- Backup copies will be deleted within 60 days after primary deletion
- Some data may be retained as required by law (e.g., billing records)
22. Confidentiality
We will treat your Customer Data as confidential information and will not disclose it to third parties except:
- To provide the Services (including to sub-processors)
- With your consent
- As required by law or legal process
- To protect our rights or the rights of others
- In connection with a merger, acquisition, or sale of assets (with notice to you)
23. Service Modifications
23.1 Right to Modify
We reserve the right to modify, update, or discontinue any aspect of the Services at any time, including:
- Adding or removing features
- Changing pricing or Credit allocations
- Updating integrations or Third-Party Services
- Modifying the user interface or experience
23.2 API Changes
For API changes that may affect your integrations, we will provide reasonable deprecation notice when possible. It is your responsibility to update your integrations to remain compatible with current API versions.
23.3 Changes to Terms

- Beta Features may contain bugs, errors, or instabilities
- We may discontinue Beta Features at any time without notice
- There is no commitment to release Beta Features as general availability features
- Your use of Beta Features is at your own risk
- Feedback on Beta Features may be used to improve the Services
25. Dispute Resolution
25.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve the dispute informally through good faith negotiation for at least 30 days.
25.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate as a class member in any class action lawsuit, class arbitration, or other representative proceeding against miu.ai.
25.3 Individual Claims Only
Any dispute shall be resolved on an individual basis only. You may not bring claims as a plaintiff or class member in any purported class or representative proceeding.
25.4 Courts of Malaysia
All disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Malaysia.
26. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.
You agree that the courts of Malaysia shall have exclusive jurisdiction over any disputes arising out of or related to these Terms or the Services.
You consent to personal jurisdiction in Malaysia and waive any objections based on venue or inconvenient forum.
27. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control ("Force Majeure Events"), including but not limited to:
- Natural disasters (earthquakes, floods, hurricanes, etc.)
- War, terrorism, civil unrest, or armed conflict
- Pandemics, epidemics, or public health emergencies
- Government actions, laws, or regulations
- Power outages or telecommunications failures
- Cyberattacks or security incidents affecting infrastructure
- Failures of Third-Party Services or providers
- Labor disputes or strikes
The affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to mitigate the effects of the Force Majeure Event.
28. Assignment
28.1 Customer Assignment
You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. Any attempted assignment without consent shall be void.
28.2 miu.ai Assignment
We may assign these Terms or any rights or obligations hereunder to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without your consent. We will notify you of any such assignment.

30. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and miu.ai regarding the Services. They supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether oral or written.
31. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
32. Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of miu.ai.
33. Relationship of Parties
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between us. Neither party has authority to bind the other or incur obligations on the other's behalf.
34. Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except that miu.ai's affiliates, officers, directors, employees, and agents are intended third-party beneficiaries of the indemnification provisions and limitations of liability.
35. Language
These Terms are written in English. If these Terms are translated into any other language and there is a conflict between the English version and the translated version, the English version shall prevail.
